Legal Agreement & Binding Nature

These Terms and Conditions ("Agreement") constitute a legally binding contract between you ("Client," "User," or "you") and GOEL Real Estate Limited ("Company," "we," "us," or "our"), a company incorporated in England and Wales.

By engaging our services, accessing our website, or entering into any business relationship with us, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. This Agreement supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.

Important: If you do not agree with any provision of this Agreement, you must not use our services or engage with our company. Continued use constitutes acceptance of all terms.

User Obligations & Legal Responsibilities

You warrant and undertake that your use of our services will comply with all applicable laws, regulations, and professional standards, including:

  • Protection of confidential information

2. Prohibited Activities & Behaviours

You expressly agree not to engage in any of the following prohibited activities:

System & Security Violations

  • Attempting unauthorised access to our systems, networks, or data
  • Introducing malicious software, viruses, or harmful code
  • Reverse engineering or attempting to copy our proprietary technology
  • Interfering with the normal operation of our services or infrastructure

Legal & Ethical Violations

  • Using our services for illegal, fraudulent, or deceptive purposes
  • Violating third-party intellectual property or privacy rights
  • Misrepresenting your identity, authority, or property ownership
  • Engaging in discriminatory or harassing behaviour

Commercial Misuse

  • Reselling or redistributing our services without authorisation
  • Using our services to compete directly with our business
  • Attempting to recruit our staff or contractors
  • Soliciting our clients for competing services

3. Content Guidelines & Restrictions

When providing content, information, or materials to us, you agree to the following standards:

  • Legitimate business information and requirements
  • Properly licensed images and documentation
  • Factual technical specifications and preferences
  • Constructive feedback and professional communication

Prohibited Content

  • False, misleading, or inaccurate information
  • Copyrighted material without proper authorisation
  • Offensive, discriminatory, or inappropriate content
  • Information that violates privacy or confidentiality
  • Content promoting illegal or unethical activities

4. Age Restrictions & Legal Authority

By engaging our services, you represent and warrant that:

You are at least 18 years of age and have the legal capacity to enter into contracts
You have the legal authority to make decisions regarding the property in question
You are authorised to engage our services on behalf of any represented entity
All information provided is accurate and you will promptly notify us of any changes

Liability & Warranties

5. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for purpose
  • Warranties of non-infringement of third-party rights
  • Warranties of uninterrupted or error-free service delivery
  • Warranties regarding specific property value increases
  • Warranties of compatibility with all property types
  • Warranties regarding regulatory approval outcomes
  • Warranties of specific technology performance levels
  • Warranties regarding investment returns or market outcomes

Important Note: While we strive for excellence in service delivery, property technology integration involves inherent variables and risks that cannot be guaranteed. Our role is advisory and consultative.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOEL REAL ESTATE LIMITED BE LIABLE FOR ANY:

Consequential & Special Damages

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, or goodwill
  • Business interruption or inability to use property
  • Data loss or corruption of electronic information

Maximum Liability Cap

Our total aggregate liability for all claims arising from or relating to our services shall not exceed the total amount paid by you to us for services in the 12 months preceding the claim.

Exceptions to Limitations

These limitations do not apply to liability for death or personal injury caused by our negligence, fraud, or other matters where liability cannot be excluded by law.

7. Consequential Damages Exclusion

You acknowledge and agree that we shall not be liable for any consequential damages arising from:

Technology-Related Issues

  • Smart home system malfunctions or incompatibilities
  • Third-party software or hardware failures
  • Internet connectivity or network disruptions
  • Technology obsolescence or upgrade requirements

Market & Regulatory Factors

  • Property market fluctuations or economic conditions
  • Changes in building regulations or planning laws
  • Delays in regulatory approvals or permits
  • Force majeure events beyond our control

8. Force Majeure Provisions

Neither party shall be liable for any failure or delay in performance under this Agreement due to force majeure events, including:

Natural disasters, severe weather conditions, or environmental emergencies
Government actions, new laws, or regulatory changes affecting service delivery
Pandemics, public health emergencies, or widespread business disruptions
Technology infrastructure failures, cyber attacks, or communications breakdowns

Legal Information & Dispute Resolution

9. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Jurisdiction: English and Welsh courts have exclusive jurisdiction
Applicable Law: English law governs all interpretations
Venue: Manchester or London commercial courts preferred

10. Dispute Resolution Procedures

We are committed to resolving disputes efficiently and fairly through the following procedure:

Step 1: Direct Negotiation

Initial attempt to resolve through good faith discussions

Step 2: Formal Mediation

Independent mediator facilitated resolution process

Step 3: Arbitration or Litigation

Binding arbitration or court proceedings as final resort

11. Severability Clause

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, such provision shall be severed from this Agreement. The remainder of this Agreement shall remain in full force and effect.

12. Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through:

  • Written notice to active clients via email
  • Prominent website announcements
  • Updated terms with revision dates
  • 30-day advance notice for significant changes
